Terms of Service

1. Acceptance of Terms
By accessing or using UNTXT ("Service"), operated by untxt. ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. By creating an account or continuing to use the Service, you accept these Terms.
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or in-Service notice at least 30 days in advance. Continued use after changes constitutes acceptance. If you disagree with changes, you may terminate your account before they take effect.
2. Description of Service
UNTXT is an optical character recognition (OCR) platform that converts scanned documents, images, and PDFs into structured, machine-readable data. The Service includes:
- Document upload and OCR processing
- Text extraction and structuring into JSON format
- Document storage and version management
- Export capabilities in various formats
The Service is provided on an "as is" and "as available" basis. We strive to maintain high availability but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any aspect at any time with notice for material changes.
3. Account Registration & Eligibility
To use certain features, you must register an account and provide accurate, current, and complete information. You agree to:
- Maintain password security and not share your account
- Accept responsibility for all activities under your account
- Notify us immediately of unauthorized use
You must be at least 18 years old. By using the Service, you represent you meet this requirement and comply with all applicable laws, including U.S. export controls (e.g., Export Administration Regulations). You further represent that your use will not involve sanctioned countries, entities, or individuals under U.S. law (e.g., OFAC lists), and you will not export, re-export, or transfer any data in violation of such laws.
4. Subscription & Payment Terms
Pricing is on our pricing page in US dollars. Subscriptions bill in advance monthly/annually; pay-per-document based on usage (a document is up to 5 pages). Subscriptions auto-renew unless cancelled before the next billing cycle. Cancel via email to support@untxt.ai.
Refunds are non-refundable except as required by law (e.g., under certain state privacy rights). Unused credits roll over for 60 days from the date they are issued; credits older than 60 days expire automatically. We may change prices with 30 days' notice, effective next billing cycle.
5. User Content & License Grant
You retain ownership of documents, images, and content uploaded ("User Content"). By uploading, you grant us a limited, non-exclusive, royalty-free, worldwide license to process, store, and transmit User Content solely to provide and improve the Service (e.g., OCR processing, backups). This license ends upon deletion or account termination.
You represent you have rights to User Content and it complies with laws. We do not use User Content to train AI models without your opt-in consent. Do not upload sensitive data (e.g., PHI under HIPAA) without a separate agreement.
6. Data Ownership, Processing & Security
You own all data uploaded and extracted. We claim no ownership.
Processing: As a service provider, we process data per these Terms and any Data Processing Addendum (DPA) or Business Associate Agreement (BAA) if applicable (e.g., for HIPAA-covered data). Contact support@untxt.ai for a DPA/BAA. We comply with applicable privacy laws as a processor (e.g., CCPA/CPRA, other state laws).
Storage & Retention: Data is stored until you delete it. Backups may be retained for a limited period for recovery purposes. Upon termination, you may request deletion of all data by contacting support@untxt.ai.
Security: We use industry-standard measures (e.g., encryption in transit and at rest, access controls). However, no system is 100% secure. In case of a data breach, we will notify affected users as soon as reasonably practicable and as required by applicable law.
Audit Rights: We may audit your use of the Service for compliance with these Terms upon reasonable notice (at least 14 days), limited to once per year unless we suspect a violation.
7. Intellectual Property
We own the Service, its design, branding, and proprietary features. You may not use our marks without consent. Feedback you provide grants us a perpetual, irrevocable, royalty-free license to use it.
DMCA Policy: If you believe content infringes your copyright, notify us at support@untxt.ai with: your contact info, description of work, location on Service, statement of good faith belief, and signature. We may remove infringing content and terminate repeat infringers.
8. Prohibited Uses
In addition to prior prohibitions, do not: upload sensitive personal data without agreement, use for AI training without rights, or violate export laws. Violations may lead to suspension/termination.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (E.G., LOSS OF PROFITS, DATA). TOTAL LIABILITY IS CAPPED AT FEES PAID IN THE PRIOR 12 MONTHS.
Some jurisdictions limit this, so it may not apply to you.
10. Disclaimer of Warranties
SERVICE IS "AS IS" WITHOUT WARRANTIES (E.G., MERCHANTABILITY, FITNESS, NON-INFRINGEMENT). WE DO NOT GUARANTEE UNINTERRUPTED/ERROR-FREE OPERATION, 100% OCR ACCURACY, OR MEETING YOUR REQUIREMENTS.
We disclaim any liability for biases, errors, or outcomes from OCR results, including AI-processed data.
11. Indemnification
You indemnify, defend, and hold us harmless from claims arising from your use, User Content, violations of these Terms or third-party rights, or any data breaches caused by your actions or content (including reasonable attorneys' fees).
We indemnify you for claims that the Service infringes third-party IP, subject to your prompt notice, cooperation, and our control of defense. Our indemnification obligations are capped at the liability limit in Section 9.
12. Termination
You may terminate anytime by contacting support@untxt.ai. No refunds for prepaid fees. We may suspend or terminate accounts for violations with notice. Upon termination, you may request deletion of your data.
13. Privacy Rights
We comply with applicable US privacy laws (e.g., CCPA/CPRA, Virginia CDPA, Colorado CPA). If a California (or other state) resident, you have rights to:
- Know/Access: Categories/specific personal info collected, sources, purposes, disclosures.
- Delete: Request deletion (subject to exceptions).
- Opt-out: Of sale/sharing (we do not sell personal information).
- Correct: Inaccuracies in your data.
- Limit: Sensitive info use.
- Non-discrimination: For exercising rights.
Submit requests via support@untxt.ai. We respond within 45 days (extendable to 90). Verification required. See our Privacy Policy for details. We do not sell info.
14. Governing Law
Governed by the laws of the United States and the state in which the Company is organized.
15. Dispute Resolution
Disputes resolved by binding AAA arbitration (no class actions). You may opt out within 30 days. Exceptions for IP injunctions. Informal resolution first.
16. Modifications to Terms
As in Section 1, with 30 days' notice for material changes.
17. Miscellaneous
- Force Majeure: No liability for delays due to events beyond control (e.g., natural disasters, pandemics).
- Severability: Invalid provisions severed; remainder enforceable.
- Assignment: We may assign; you may not without consent.
- Entire Agreement: These Terms supersede prior agreements.
